This Software as a Service License Agreement (the "Agreement") is entered into between the Licensor and the Licensee identified below. By purchasing, activating, or using any RedVIP® product or service, the Licensee agrees to be fully bound by the terms of this Agreement.

RedVIP®, operated by Goliath Web Agency (GWA), registered under U.S. Federal Tax ID 92-3899079. Located at 1604 Babbling Brook Cove, Lawrenceville, GA 30043, USA.

Licensee

The individual, business, or entity completing the purchase and activation of a RedVIP® Vitrina subscription (hereinafter the "Licensee" or "new web user").

Definitions

RedVIP® Platform
The proprietary community commerce infrastructure developed and owned exclusively by Andrés Montañez, CEO/Founder of RedVIP®. Encompasses all PWA vitrina storefronts, master city and mall apps, namespace isolation architecture, push notification systems, admin control panels, and all associated software, code, and technology.
Vitrina
A namespace-isolated Progressive Web App (PWA) storefront deployed on the RedVIP® platform. Each Vitrina functions as a fully customizable digital business presence, installable on mobile devices, capable of push notifications, and accessible without an app store.
PWA
A Progressive Web App built with advanced web technology providing a native-like experience — including device installation, offline functionality, and rapid load times — without distribution through Apple App Store or Google Play Store.
Namespace Isolation
RedVIP®'s proprietary architecture assigning each Vitrina a unique, protected namespace within the platform, preventing interference between storefronts and ensuring data integrity.
Master App
A city-level or mall-level aggregator PWA that consolidates multiple Vitrina storefronts into a single downloadable application for end-users.
Admin / Control Panel
The web-based administrative interface provided to each Licensee to manage Vitrina content, offers, story rings, push notifications, and settings.
Patron / NFT Vitrina
A lifetime ownership tier granting permanent namespace lock and spot ownership within a designated city ecosystem, subject to the terms herein.
Spot
A limited, numbered position within a city's RedVIP® ecosystem. Each city is capped at 5,000 spots to preserve scarcity and commercial value.
Story Rings / Reels
RedVIP®-proprietary content formats within the Vitrina for displaying time-limited promotional offers and media to end-users.

License Grant

1.1Scope of License

RedVIP® grants the Licensee a non-exclusive, non-transferable, revocable (subject to the terms herein), and limited license to access and use one (1) or more RedVIP® Vitrina storefronts, based on the subscription plan selected at the time of purchase.

1.2License Duration

Subscription-based plans (Basic, Pro, and Premium) are valid for twelve (12) calendar months from the date of successful payment activation. The Patron / NFT Vitrina plan constitutes a lifetime ownership tier and does not expire, subject to compliance with this Agreement.

1.3What Is Included

The license includes the following, as applicable to the selected plan:

  • Deployment and hosting of a customized Vitrina PWA on RedVIP® servers
  • Access to the RedVIP® Admin Control Panel for content and offer management
  • RedVIP® proprietary push notification system (no dependency on Apple/Google infrastructure)
  • Device session-based authentication with zero personally identifiable information (PII) collection
  • Integration into the applicable Master City or Mall App
  • Bilingual interface capability (English/Spanish) — Pro plan and above
  • Story Rings, Reels, and advanced customization — Premium and Patron plans
  • Technical support and server maintenance for the duration of the license period
1.4Algorithm-Free Guarantee

RedVIP® does not employ engagement algorithms, content suppression, or paid promotion rankings. All Vitrina storefronts are displayed on equal terms within their designated city or mall ecosystem. RedVIP® does not harvest, sell, or monetize end-user data.

Fees, Pricing & Payment

2.1Subscription Plans & Pricing

The following pricing schedule is in effect as of the Effective Date of this Agreement. All prices are in United States Dollars (USD):

2.2Price Stability

All prices applicable at the time of purchase are fixed and binding for the duration of the active license period. RedVIP® reserves the right to adjust pricing for future renewal periods. Any price changes will be communicated no fewer than thirty (30) days prior to the renewal date.

2.3Payment

Payment is processed exclusively through the official RedVIP® platform at redvip.online/pages/app-prices.

2.4No Refund Policy
All sales are final. Once a subscription is activated, no refunds, chargebacks, or credits will be issued for any reason, including cancellation prior to period end, non-use of the Vitrina, or disputes regarding feature availability. By completing a purchase, the Licensee expressly acknowledges and agrees to this no-refund policy.
2.5City Spot Scarcity Model

Each RedVIP® city deployment is limited to a maximum of five thousand (5,000) Vitrina spots. Spots are allocated on a first-come, first-served basis. RedVIP® makes no representation that spots will remain available in any given city at any time.

Support & Maintenance

3.1Included Support
  • Bug fixes and platform performance updates
  • Security monitoring and incident response
  • Server infrastructure stability and uptime management
  • Assistance with the administrative use of the RedVIP® Control Panel
  • Platform-level updates and feature rollouts as released
3.2Uptime Guarantee

RedVIP® guarantees platform availability of not less than 99.9% of the time on an annual basis, excluding: (a) scheduled maintenance windows communicated in advance, (b) force majeure events, and (c) outages caused by third-party infrastructure providers beyond RedVIP®'s reasonable control.

3.3Support Exclusions

Support does not cover: custom development requests outside the scope of the purchased plan, Licensee-caused configuration errors, issues arising from unauthorized modifications to the Vitrina, or hardware/software issues on the Licensee's end.

Renewal & Expiration

4.1Manual Renewal Only

Subscriptions do not renew automatically. It is the Licensee's sole responsibility to renew prior to the expiration of the license period. RedVIP® is not liable for any loss of data, visibility, or commercial activity resulting from a lapsed subscription.

4.2Post-Expiration

Upon expiration without renewal, the Vitrina will be deactivated and removed from the Master App. Vitrina content and offer data may be retained by RedVIP® for a maximum of sixty (60) days, after which it may be permanently deleted. RedVIP® will make reasonable efforts to notify the Licensee via contact information on file prior to deactivation.

4.3Patron Lifetime Continuity

Patron-tier licenses are not subject to annual renewal. The Licensee's namespace and spot within the designated city ecosystem are permanently reserved for the lifetime of the RedVIP® platform, provided the Licensee remains in compliance with this Agreement.

Intellectual Property & Confidentiality

5.1Ownership
® RedVIP® is a registered trademark. All intellectual property — including all PWA source code, vitrina architecture, namespace isolation system, push notification engine, master city/mall app technology, admin panel interfaces, design systems, algorithms, trade secrets, brand assets, and modular community commerce architecture — is the exclusive property of Andrés Montañez, CEO and Founder of RedVIP®. Nothing in this Agreement constitutes a transfer, assignment, sublicense, or grant of any intellectual property rights to the Licensee.
5.2Prohibited Activities

The Licensee and all affiliated parties are strictly prohibited from:

  • Attempting to reverse engineer, decompile, disassemble, or otherwise derive source code from any RedVIP® software or technology
  • Reproducing, copying, or replicating the RedVIP® system or any component thereof for any derivative work or competing product
  • Disclosing, sharing, sublicensing, or transferring access to any RedVIP® technology or proprietary information to any third party
  • Uploading screenshots, screen recordings, or code samples of RedVIP® internal systems to any public repository or competing service for the purpose of replication
  • Using RedVIP® technology as a reference design for creating a competing platform
  • Modifying, altering, or tampering with any RedVIP® core code, scripts, or infrastructure
5.3Confidentiality

The Licensee agrees to maintain strict confidentiality with respect to all proprietary RedVIP® information accessed during the license period. This obligation survives the termination or expiration of this Agreement for a period of five (5) years.

5.4IP Enforcement

Unauthorized use, reproduction, or reverse engineering of any RedVIP® system, technology, or architecture constitutes a material breach of this Agreement and may expose the offending party to civil liability and injunctive relief under applicable U.S. intellectual property law, including the Digital Millennium Copyright Act (DMCA) and applicable trademark statutes.

Licensee Content & Responsibilities

6.1Content Ownership

The Licensee retains full ownership of all business content uploaded to their Vitrina. By uploading content, the Licensee grants RedVIP® a limited, non-exclusive license to host, display, and deliver such content solely for the purpose of operating the Vitrina and Master App.

6.2Content Standards

The Licensee is solely responsible for ensuring uploaded content complies with applicable laws and does not infringe third-party intellectual property rights, contain false or deceptive commercial claims, include illegal or harmful content, or violate any applicable local, state, federal, or international regulations.

6.3Content Removal

RedVIP® reserves the right to remove any Licensee content that, in RedVIP®'s sole determination, violates applicable law or these Terms — without prior notice and without liability to the Licensee.

Data Privacy

7.1No PII Collection

The RedVIP® platform is architected to operate without the collection of personally identifiable information (PII) from end-users. Device session-based authentication is used in lieu of account registration or personal data collection.

7.2Licensee Data

RedVIP® collects and stores only the business-related information necessary to maintain and operate the Licensee's Vitrina, including: business name, contact details provided at registration, subscription and payment records, and content uploaded to the Control Panel.

7.3No Data Monetization

RedVIP® does not sell, rent, broker, or otherwise monetize any data associated with the Licensee's Vitrina or its end-users. RedVIP® does not participate in advertising networks, programmatic ad systems, or behavioral tracking programs.

Vitrina Control & Administrative Access

8.1Administrative Rights

The Licensee retains full administrative control over their Vitrina through the RedVIP® Control Panel for the duration of the active license period, including: content management, offer and promotion publishing, push notification dispatch, bilingual interface configuration, and design customization within provided parameters.

8.2Namespace Lock

The Licensee's Vitrina namespace — the unique identifier anchoring their storefront within the RedVIP® platform — is locked to the Licensee upon activation. No other party may occupy the same namespace within the same city or mall deployment during the active license period.

8.3Patron Lifetime Namespace

Patron-tier Licensees hold permanent namespace lock for the lifetime of the RedVIP® platform. This represents a proprietary commercial asset within the RedVIP® city ecosystem.

Warranties & Limitation of Liability

9.1Platform Warranty

RedVIP® warrants that the platform will be operational at the uptime level described in Section 3.2 and that the software will perform substantially as described in the documentation provided to the Licensee.

Termination

10.1Termination by Licensor

RedVIP® may terminate this Agreement and suspend or permanently deactivate the Licensee's Vitrina immediately upon written notice in the event of:

  • Material breach of any provision of this Agreement
  • Violation of the intellectual property restrictions in Section 5
  • Non-payment or fraudulent payment
  • Use of the platform for illegal purposes
  • Any action that poses a risk to the security, integrity, or reputation of the RedVIP® platform
10.2Effect of Termination

Upon termination, the Licensee's right to access and use the Vitrina immediately ceases. RedVIP® is not obligated to refund any fees paid. The obligations set forth in Sections 5 (Intellectual Property), 7 (Privacy), 9 (Warranties), and 11 (Governing Law) survive termination.

11

General Provisions

11.1Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law principles. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Gwinnett County, Georgia.

11.2Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, whether oral or written.

11.3Amendments

RedVIP® reserves the right to update these Terms of Service. Material changes will be communicated to active Licensees with a minimum of thirty (30) days' notice. Continued use of the platform following the effective date of any amendment constitutes acceptance of the updated terms.

11.4Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

11.5No Waiver

RedVIP®'s failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

11.6Assignment

The Licensee may not assign, transfer, or sublicense this Agreement or any rights hereunder without RedVIP®'s prior written consent. RedVIP® may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

11.7Language

This Agreement is executed in English. In the event of any conflict between an English-language version and any translated version, the English version shall prevail.

Prohibited Businesses & Activities

12.1Purpose & Scope

RedVIP® is a community commerce platform dedicated to supporting legitimate, law-abiding local businesses. The platform may not be used — directly or indirectly — to promote, advertise, sell, distribute, or facilitate any illegal business, unlawful activity, prohibited product, or controlled substance. This section applies to the Licensee, its employees, agents, affiliates, and any third party operating under the Licensee's Vitrina or Admin Panel access.

12.2Categorically Prohibited Businesses & Activities

The following categories of businesses, products, services, and activities are strictly and absolutely prohibited on the RedVIP® platform:

🚫 Controlled & Illegal Substances
  • Narcotics, cocaine, heroin, methamphetamine, fentanyl, or any Schedule I–V controlled substances
  • Synthetic drugs, designer drugs, or novel psychoactive substances (NPS)
  • Unlicensed sale or distribution of cannabis or marijuana products
  • Prescription medications sold without a valid prescription or pharmacy license
  • Drug paraphernalia marketed for illegal use
🚫 Illegal Weapons & Dangerous Goods
  • Unlicensed firearms, ghost guns, or untraceable weapons
  • Illegal weapon modifications (suppressors, auto-conversion parts)
  • Explosives, incendiary devices, or military-grade ordnance
  • Switchblades, brass knuckles, or other prohibited weapons by jurisdiction
  • Stolen goods or property obtained through theft or fraud
🚫 Fraudulent & Criminal Operations
  • Money laundering, structuring, or financial crimes
  • Ponzi schemes, pyramid schemes, or fraudulent investment operations
  • Counterfeit goods, fake IDs, forged documents, or trademark infringement
  • Identity theft services or unauthorized access to personal data
  • Unlicensed financial services (lending, investment advising, money transmission)
🚫 Exploitation & Human Harm
  • Human trafficking, forced labor recruitment, or labor exploitation
  • Sexual exploitation, prostitution services, or adult content not legally permitted
  • Child endangerment or any content or service harmful to minors
  • Animal cruelty, illegal wildlife trade, or endangered species products
  • Organs, human tissue, or biological material sold illegally
🚫 Cybercrime & Digital Offenses
  • Hacking tools, malware, ransomware, or exploit kits
  • Phishing services, credential harvesting, or unauthorized account access
  • Spam operations, botnets, or DDoS-for-hire services
  • Pirated software, cracked applications, or illegal media distribution
  • Deepfakes, synthetic media used for fraud or defamation
🚫 Regulated Industries Operating Illegally
  • Unlicensed gambling, betting, or wagering operations
  • Unlicensed alcohol production or distribution
  • Unauthorized tobacco or nicotine product sales (below legal age gates)
  • Unregistered charities soliciting donations without proper licensing
  • Illegal immigration or visa services
12.3Misrepresentation

It is a violation of this Agreement for any Licensee to misrepresent the nature of their business, use misleading business names, or operate a Vitrina as a front for any prohibited activity listed herein. RedVIP® reserves the right to investigate any Vitrina suspected of misrepresentation.

12.4Enforcement — Immediate Suspension & Permanent Ban
⛔ ZERO TOLERANCE — IMMEDIATE ACTION POLICY

Any confirmed or credibly suspected violation of this Section 12 will result in immediate suspension of the Licensee's Vitrina and all associated access to the RedVIP® platform, without prior notice and without refund of any fees paid.

Depending on the severity of the violation, RedVIP® reserves the right to impose a permanent ban from the RedVIP® network — including all current and future city and mall deployments — on the Licensee, its principals, affiliated entities, and any business operating under the same ownership or control.

RedVIP® further reserves the right to report confirmed illegal activity to the appropriate local, state, federal, or international law enforcement authorities.
12.5Reporting

Any platform user, merchant, or third party who becomes aware of a Vitrina operating in violation of this section is encouraged to report such activity to RedVIP® via the official contact channels listed in Section 11.8. RedVIP® will investigate all credible reports in good faith.
